By accessing or using the fluso platform ("Service"), operated by Prem AI, Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

fluso is an agentic workspace that connects to your existing tools, autonomously identifies tasks and obligations, executes multi-step workflows, and delivers finished work for your review. The Service includes web applications, APIs, agent capabilities, and related documentation.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using fluso, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any systems or networks connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit malware, spam, or harmful content
• Resell, sublicense, or redistribute the Service without prior written consent

6. Your Data

You retain all rights to data you submit to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service. We will not sell Your Data to third parties. Our handling of personal data is governed by our Privacy Policy.

7. Third-Party Integrations

The Service connects to third-party platforms (e.g., Gmail, Slack, GitHub, Linear) through connectors. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

8. AI-Generated Outputs

The Service uses artificial intelligence to generate content, execute tasks, and produce deliverables ("Outputs"). While we strive for accuracy, Outputs may contain errors or inaccuracies. You are responsible for reviewing and validating all Outputs before relying on them. We do not guarantee the accuracy, completeness, or fitness of any Output for a particular purpose.

9. Subscription and Payment

Certain features require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to change pricing with 30 days' notice. Refunds are handled in accordance with our refund policy.

10. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by Prem AI, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. You retain ownership of Your Data and any original content you create using the Service.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination.

15. Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.
